The practical answer
Build one reconciled transfer file before agreeing a payment sequence: the existing contract, any amendments, the developer’s written position, an up-to-date balance and the proposed replacement or assignment documents. Have your independent Egyptian lawyer explain what rights you would acquire and when they take effect.
Name the interest you are being offered
Ask the seller to describe the transaction in plain language. Are they proposing an assignment of their purchase agreement, a cancellation followed by a new sale, or another arrangement? Do not assume the word “resale” answers this. Each proposed route needs its own documents and review.
Make a document map showing the seller, developer, property description, contract date and amendments. Ask your lawyer to establish the seller’s authority and the interest being transferred. The GOV.UK Egypt buying guide recommends independent local legal advice; its general guidance does not verify any individual transaction.
Turn “the developer agrees” into a clear written position
Ask the developer to confirm whether the proposed transaction is acceptable under the existing agreement and what conditions must be met. Request the current transfer procedure, required signatures, documents, administrative charges and expected processing stages. Identify who within the developer’s organisation can give an authoritative answer.
A verbal acknowledgement from a sales contact is useful for arranging the next conversation, but it should not become the basis of your payment instructions. Record whether consent has already been granted, remains conditional or has merely been requested. Ask when any approval expires and whether your intended buyer name and ownership arrangement match that approval.
Separate the seller’s price from the developer balance
Create two clearly labelled amounts: what the seller expects to receive and what remains payable to the developer. Then add separately identified transfer charges, any disputed amounts and other transaction costs confirmed by your advisers. Record the currency and due date beside every line.
Request a dated developer statement and match payments claimed by the seller to supporting records. Ask who pays any instalment falling due during the transfer process and how a late transfer changes the calculation. Browse Cala Sahl Hasheesh or Red Hills for project context; a project page does not establish a particular resale balance.
Check which original promises survive the transfer
Put the existing agreement beside the proposed transfer documents. Compare the property description, specification, delivery wording, payment schedule, maintenance provisions and remedies. Ask which original attachments continue to apply and whether any separate incentives, upgrades or correspondence are excluded.
Pay attention to changes presented as administration. A fresh schedule, substituted plan or revised definition can affect your expectations even when the sales description sounds unchanged. Record each difference, the reason given and your adviser’s conclusion. If an unresolved claim exists between the current purchaser and developer, ask your lawyer how it would be handled rather than assuming it passes to you or disappears.
Write down the transfer events before funds move
Ask your lawyer to prepare or approve the sequence linking documents, signatures, acknowledgements and payments. For each event, name the responsible party, the evidence you will receive and the next action it enables. Establish what happens if a required signature or developer confirmation is delayed.
The official overseas-property guidance stresses written agreements and retaining payment records. Your actual transaction needs locally appropriate protections. Do not assume a particular escrow, guarantee or refund arrangement exists. Ask how proposed safeguards operate and what practical recovery route applies if the sequence stops partway through.
Define what a finished transfer file contains
Before signing, agree the documents that will demonstrate completion: the executed transaction documents, the developer’s acknowledgement where required, the reconciled account and the future instalment instructions. Ask your lawyer to identify any further formalities, taxes or registration steps applicable to your situation.
Keep unresolved items on a dated follow-up list with an owner for each task. A useful purchase conversation ends with clear next steps. You can contact Hurghadians Property with your preferred project and ask which resale opportunities, if any, can be supported by a complete document pack for independent review.
Your buyer checklist
- Obtain the original agreement and every amendment.
- Record the developer’s written transfer requirements.
- Reconcile seller consideration and developer balances separately.
- Compare retained rights, obligations and attachments.
- Have your lawyer approve the payment sequence.
- List the documents and formalities still required at completion.
